  7. NETSCAPE NAVIGATOR END USER LICENSE AGREEMENT
  8. REDISTRIBUTION NOT PERMITTED
  9.  
  10. BY CLICKING ON THE "ACCEPT" BUTTON OR OPENING THE PACKAGE, YOU ARE
  11. CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL
  12. OF THE TERMS OF THIS AGREEMENT, CLICK THE "DO NOT ACCEPT" BUTTON AND
  13. THE INSTALLATION PROCESS WILL NOT CONTINUE OR RETURN THE PRODUCT TO
  14. THE PLACE OF PURCHASE FOR A FULL REFUND.

  16. This Agreement has 3 parts.  Part I applies if you have not purchased
  17. a license to the accompanying software (the "Software").  Part II
  18. applies if you have purchased a license to the Software.  Part III
  19. applies to all license grants.  If you initially acquired a copy of
  20. the Software without purchasing a license and you wish to purchase a
  21. license, contact Netscape Communications Corporation ("Netscape") on
  22. the Internet at http://www.netscape.com.
  23.  
  24. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED
  25. TO EVALUATION, EDUCATIONAL AND NON-PROFIT USE) GRANT.
  26.  
  27. Netscape grants you a non-exclusive license to use the Software free
  28. of charge if (a) you are a student, faculty member or staff member of
  29. an educational institution (K-12, junior college, college or library)
  30. or an employee of an organization which meets Netscape's criteria for
  31. a charitable non-profit organization; or (b) your use of the Software
  32. is for the purpose of evaluating whether to purchase an ongoing
  33. license to the Software.  The evaluation period for use by or on
  34. behalf of a commercial entity is limited to 90 days; evaluation use by
  35. others is not subject to this 90 day limit.  Government agencies
  36. (other than public libraries) are not considered educational or
  37. charitable non-profit organizations for purposes of this Agreement. If
  38. you are using the Software free of charge, you are not entitled to
  39. hard-copy documentation, support or telephone assistance.  If you fit
  40. within the description above, you may use the Software in the manner
  41. described in Part III below under "Scope of Grant."
  42.  
  43. DISCLAIMER OF WARRANTY.
  44.  
  45. Free of charge Software is provided on an "AS IS" basis, without
  46. warranty of any kind, including without limitation the warranties of
  47. merchantability, fitness for a particular purpose and
  48. non-infringement. The entire risk as to the quality and performance of
  49. the Software is borne by you.  Should the Software prove defective,
  50. you and not Netscape assume the entire cost of any service and
  51. repair. In addition, the security mechanisms implemented by Netscape
  52. software have inherent limitations, and you must determine that the
  53. Software sufficiently meets your requirements. This disclaimer of
  54. warranty constitutes an essential part of the agreement. SOME
  55. JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS
  56. DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS
  57. THAT VARY BY JURISDICTION.

  59. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  60.  
  61. GRANT. Subject to payment of applicable license fees, Netscape grants
  62. to you a non-exclusive license to use the Software and accompanying
  63. documentation ("Documentation") in the manner described in Part III
  64. below under "Scope of Grant."
  65.  
  66. LIMITED WARRANTY.
  67.  
  68. Netscape warrants that for a period of ninety (90) days from the date
  69. of acquisition, the Software, if operated as directed, will
  70. substantially achieve the functionality described in the
  71. Documentation. Netscape does not warrant, however, that your use of
  72. the Software will be uninterrupted or that the operation of the
  73. Software will be error-free or secure. In addition, the security
  74. mechanisms implemented by Netscape software have inherent limitations,
  75. and you must determine that the Software sufficiently meets your
  76. requirements.  Netscape also warrants that the media containing the
  77. Software, if provided by Netscape, is free from defects in material
  78. and workmanship and will so remain for ninety (90) days from the date
  79. you acquired the Software. Netscape's sole liability for any breach of
  80. this warranty shall be, in Netscape's sole discretion: (i) to replace
  81. your defective media; or (ii) to advise you how to achieve
  82. substantially the same functionality with the Software as described in
  83. the Documentation through a procedure different from that set forth in
  84. the Documentation; or (iii) if the above remedies are impracticable,
  85. to refund the license fee you paid for the Software. Repaired,
  86. corrected, or replaced Software and Documentation shall be covered by
  87. this limited warranty for the period remaining under the warranty that
  88. covered the original Software, or if longer, for thirty (30) days
  89. after the date (a) of shipment to you of the repaired or replaced
  90. Software, or (b) Netscape advised you how to operate the Software so
  91. as to achieve the functionality described in the Documentation. Only
  92. if you inform Netscape of your problem with the Software during the
  93. applicable warranty period and provide evidence of the date you
  94. purchased a license to the Software will Netscape be obligated to
  95. honor this warranty. Netscape will use reasonable commercial efforts
  96. to repair, replace, advise or, for individual consumers, refund
  97. pursuant to the foregoing warranty within 30 days of being so
  98. notified.

  100. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY
  101. NETSCAPE. NETSCAPE MAKES NO OTHER EXPRESS WARRANTY AND NO WARRANTY OF
  102. NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE DURATION OF IMPLIED
  103. WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF
  104. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO
  105. THE ABOVE LIMITED WARRANTY PERIOD; SOME JURISDICTIONS DO NOT ALLOW
  106. LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY
  107. NOT APPLY TO YOU. NO NETSCAPE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED
  108. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS
  109. WARRANTY. If any modifications are made to the Software by you during
  110. the warranty period; if the media is subjected to accident, abuse, or
  111. improper use; or if you violate the terms of this Agreement, then this
  112. warranty shall immediately be terminated. This warranty shall not
  113. apply if the Software is used on or in conjunction with hardware or
  114. software other than the unmodified version of hardware and software
  115. with which the software was designed to be used as described in the
  116. Documentation.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU
  117. MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  119. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  120.  
  121. SCOPE OF GRANT.
  122.  
  123. You may:
  124. * use the Software on any single computer;
  125. * use the Software on a network, provided that each person accessing
  126.   the Software through the network must have a copy licensed to that
  127.   person;
  128. * use the Software on a second computer so long as only one copy is
  129.   used at a time;
  130. * copy the Software for archival purposes, provided any copy 
  131.   must contain all of the original Software's proprietary notices; or
  132. * if you have purchased licenses for a 10 Pack or a 50 Pack, make up
  133.   to 10 or 50 copies, respectively, of the Software (but not the
  134.   Documentation), provided any copy must contain all of the original
  135.   Software's proprietary notices.  The number of copies is the total
  136.   number of copies that may be made for all platforms.  Additional
  137.   copies of Documentation may be purchased.
  138.  
  139. You may not:
  140. * permit other individuals to use the Software except under the terms
  141.   listed above;
  142. * permit concurrent use of the Software;
  143. * modify, translate, reverse engineer, decompile, disassemble
  144.   (except to the extent applicable laws specifically prohibit such
  145.   restriction), or create derivative works based on the Software;
  146. * copy the Software other than as specified above;
  147. * rent, lease, grant a security interest in, or otherwise transfer
  148.   rights to the Software; or
  149. * remove any proprietary  notices or labels on the Software.
  150.  
  151. TITLE.
  152.  
  153. Title, ownership rights, and intellectual property rights in the
  154. Software shall remain in Netscape and/or its suppliers. The Software
  155. is protected by the copyright laws and treaties.  Title and related
  156. rights in the content accessed through the Software is the property of
  157. the applicable content owner and may be protected by applicable
  158. law. This License gives you no rights to such content.
  159.  
  160. TERMINATION.
  161.  
  162. The license will terminate automatically if you fail to comply with
  163. the limitations described herein.  On termination, you must destroy
  164. all copies of the Software and Documentation.
  165.  
  166. EXPORT CONTROLS.
  167.  
  168. None of the Software or underlying information or technology may be
  169. downloaded or otherwise exported or reexported (i) into (or to a
  170. national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea,
  171. Iran, Syria or any other country to which the U.S. has embargoed
  172. goods; or (ii) to anyone on the U.S. Treasury Department's list of
  173. Specially Designated Nationals or the U.S. Commerce Department's Table
  174. of Denial Orders. By downloading or using the Software, you are
  175. agreeing to the foregoing and you are representing and warranting that
  176. you are not located in, under the control of, or a national or
  177. resident of any such country or on any such list.
  178.  
  179. In addition, if the licensed Software is identified as a
  180. not-for-export product (for example, on the box, media or in the
  181. installation process), then the following applies: EXCEPT FOR EXPORT
  182. TO CANADA FOR USE IN CANADA BY CANADIAN CITIZENS, THE SOFTWARE AND ANY
  183. UNDERLYING TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES OR
  184. TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED BY
  185. U.S. GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION, ANYONE WHO
  186. IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED
  187. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE AGREEING TO THE
  188. FOREGOING AND YOU ARE WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON"
  189. OR UNDER THE CONTROL OF A FOREIGN PERSON.
  190.  
  191. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  192. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL NETSCAPE OR ITS SUPPLIERS
  193. OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT,
  194. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  195. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK
  196. STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  197. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL NETSCAPE BE LIABLE FOR
  198. ANY DAMAGES IN EXCESS OF THE AMOUNT NETSCAPE RECEIVED FROM YOU FOR A
  199. LICENSE TO THE SOFTWARE, EVEN IF NETSCAPE SHALL HAVE BEEN INFORMED OF
  200. THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER
  201. PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR
  202. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH
  203. LIMITATION. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION
  204. OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS
  205. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  206.  
  207. HIGH RISK ACTIVITIES.
  208.  
  209. The Software is not fault-tolerant and is not designed, manufactured
  210. or intended for use or resale as on-line control equipment in
  211. hazardous environments requiring fail-safe performance, such as in the
  212. operation of nuclear facilities, aircraft navigation or communication
  213. systems, air traffic control, direct life support machines, or weapons
  214. systems, in which the failure of the Software could lead directly to
  215. death, personal injury, or severe physical or environmental damage
  216. ("High Risk Activities").  Netscape and its suppliers specifically
  217. disclaim any express or implied warranty of fitness for High Risk
  218. Activities.
  219.   
  220. MISCELLANEOUS.
  221.  
  222. If the copy of the Software you received was accompanied by a printed
  223. or other form of "hard-copy" End User License Agreement whose terms
  224. vary from this Agreement, then the hard-copy End User License
  225. Agreement governs your use of the Software.  This Agreement represents
  226. the complete agreement concerning this license and may amended only by
  227. a writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE
  228. ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO
  229. THE TERMS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If
  230. any provision of this Agreement is held to be unenforceable, such
  231. provision shall be reformed only to the extent necessary to make it
  232. enforceable.  This Agreement shall be governed by California law
  233. (except for conflict of law provisions). The application the United
  234. Nations Convention of Contracts for the International Sale of Goods is
  235. expressly excluded.
  236.  
  237. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure by
  238. the Government is subject to restrictions set forth in subparagraphs
  239. (a) through (d) of the Commercial Computer-Restricted Rights clause at
  240. FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the
  241. Rights in Technical Data and Computer Software clause at DFARS
  242. 252.227-7013, or at 252.211-7015, or to Netscape's standard commercial
  243. license, as applicable, and in similar clauses in the NASA FAR
  244. Supplement. Contractor/manufacturer is Netscape Communications
